Terms of Service

Version 1.1 - Effective Date: February 2026

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, "You" or "Licensee") and Spoken ("Licensor") for the Spoken software product ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement.

1. License Grant

Subject to the terms of this Agreement, Licensor grants you a non-exclusive, non-transferable license to:

  • Install and use the Software on up to two (2) computers for personal use.
  • Use all features and functions of the Software.
  • Receive updates for one (1) year from purchase date.

2. Restrictions

You may NOT:

  • Reverse engineer, decompile, or disassemble the Software.
  • Rent, lease, lend, or sublicense the Software.
  • Remove or modify any copyright notices.
  • Distribute or resell the Software.
  • Use the Software for commercial purposes without a business license.

3. Ownership

The Software is licensed, not sold. Licensor retains all rights, title, and interest in the Software.

4. Privacy

  • All speech processing occurs locally on your computer.
  • No data is transmitted to external servers regarding your recordings.
  • No personal information is collected or stored by the Licensor from the app usage.
  • Audio recordings are processed in real-time and not saved to disk by the application logic, unless explicitly requested by features.

5. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

6. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE.

7. Updates

  • Free updates provided for one (1) year from purchase.
  • Updates are optional and do not require repurchase during the active period.
  • After one year, updates may require a separate purchase/renewal.

8. Termination

This license is effective until terminated. Licensor may terminate if you breach this Agreement. Upon termination, you must destroy all copies of the Software.

9. Support

Email support provided for one (1) year from purchase date.

10. Governing Law

This Agreement shall be governed by the applicable laws of the jurisdiction where the Licensor is established.
